1) Acceptance of these Terms

By accessing our website, newsletter, community, or downloads (the “Service”), you agree to these Terms and our Privacy Policy. If you don’t agree, don’t use the Service.

2) Who We Are

“The $10M Acquisition Journal” is an educational publication documenting an operator’s path to owning a portfolio of small businesses. It includes free posts, paid posts, tools, live calls, and community features.

3) Accounts & Eligibility

You must be 18+ and able to form a contract. Keep your login secure. You’re responsible for activity on your account.

4) Subscriptions, Billing & Renewal

Paid plans are billed at the posted rate and auto-renew each term until you cancel. We may offer monthly, annual, or special tiers (e.g., “Charter Member”). We may change prices or features with notice for the next term. Taxes may apply. If a payment fails, we may suspend access.

Trials, Discounts, and Promotions

Trials and discounts run for the stated period and convert to the then-current rate unless you cancel before renewal. We may revoke promotions for abuse.

5) Cancellations & Refunds

Cancel anytime to stop future renewals. Access continues through your current paid term.

Refunds: Unless required by law, monthly fees are non-refundable; annual fees are refundable within 7 days of first charge or renewal.

6) Gifts & Referrals

Gift passes and referral credits are promotional, have no cash value, and may expire. You can’t resell or trade them.

7) Content & License to You

All content, downloads, templates, and tools are our intellectual property or used under license. When you pay, we grant you a personal, non-transferable, non-exclusive license to view and use materials for your own business. No sharing, reposting, scraping, training AI models, resale, or redistribution without written permission.

8) Your Submissions & Community Rules

Anything you post—comments, questions, testimonials (“User Content”)—must be lawful and respectful. No harassment, spam, private data, or confidential deal info. You grant us a worldwide, royalty-free license to display and share your User Content in connection with the Service. We may moderate, edit, or remove content in our discretion.

9) No Investment, Legal, or Tax Advice

We publish education and operator experiences. We are not your advisor, broker-dealer, investment adviser, lawyer, or CPA. Nothing here is a recommendation, solicitation, or promise of results. Markets change. You are responsible for your decisions and compliance with law.

10) No Client Relationship; No Confidential Information

Accessing the Service does not create an advisory, attorney-client, or fiduciary relationship. Do not send confidential information. If you need professional advice, hire a licensed pro.

11) Tools & Downloads — Additional Terms

Spreadsheets, templates, dashboards, and scripts are provided “as-is.” You’re responsible for verifying calculations and suitability. Do not remove notices, attempt to decompile code, or circumvent security.

12) Prohibited Uses

You agree not to: (a) share logins or multi-seat access; (b) copy, mirror, or scrape the Service; (c) use bots to harvest content; (d) train AI or models on our content without written consent; (e) violate law or others’ rights; (f) attempt to disrupt or reverse-engineer the Service.

13) Intellectual Property

All trademarks, logos, and content are owned by us or our licensors. Nothing grants you rights except the limited license in §7.

14) Third-Party Services & Links

We may link to third parties (e.g., video platforms, payment processors). We’re not responsible for their content or policies. Your use of them is at your risk and subject to their terms.

15) Sponsorships & Affiliates

We may receive compensation from sponsors or affiliates. We’ll disclose when required. Opinions are our own.

16) Availability; Changes to the Service

We may change, suspend, or discontinue features at any time. We’ll try to give notice when practical.

17) Disclaimers

THE SERVICE IS PROVIDED “AS-IS” AND “AS-AVAILABLE.” WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT ACCURACY, TIMELINESS, OR RESULTS.

18) Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS, EVEN IF ADVISED OF THE POSSIBILITY. OUR TOTAL LIABILITY FOR ANY CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE THREE (3) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.

19) Indemnification

You agree to defend, indemnify, and hold us harmless from claims, damages, liabilities, and costs (including reasonable attorneys’ fees) arising from your use of the Service or breach of these Terms.

20) Governing Law; Venue

These Terms are governed by the laws of NYS, USA, without regard to conflicts of laws. Courts located in Suffolk County, NYS have exclusive jurisdiction unless you adopt the arbitration clause below.

21) Termination

We may suspend or terminate access for any breach or unlawful use. You may delete your account at any time. Sections that by nature should survive (e.g., §§7–9, 11–22) will survive termination.

22) Changes to these Terms

We may update these Terms. If we make material changes, we’ll post the new version and update the effective date. Continued use after changes means you accept the revised Terms.
